User unconditionally agrees that CSM shall not be responsible in any way whatsoever, including consequential or direct damages, for any viruses, worms, Trojan horses or any other malicious software/firmware/shareware/freeware code that may manifest itself when user visits this, or any other site owned and operated by CSM. User visits this site and downloads/uploads any and all files at User's own risk.

User, and necessarily not CSM, assumes total responsibility for any damages, repairs, replacement of equipment, including any hardware and software.

Confidentiality

In the course of visiting this site, Common Sense Marketing, LLC ("CSM") may provide information which User shall treats as, and is in fact, confidential and proprietary to CSM. User agrees that all such items, together with similar items which CSM may develop in the course of the Services shall be and remain property of CSM, provided that User shall have a non-exclusive license to all such items developed specifically for User.

Other Terms and Conditions

This Agreement constitutes the entire understanding between the parties with respect to the subject matter hereof and may be amended only in writing signed by the parties. No waiver of any right granted herein shall be effective unless such waiver is written and is signed by the party against whom such waiver is claimed.

This Agreement shall be governed by and shall be construed and enforced in accordance with the laws of the State of Tennessee. Each party hereby consents to the jurisdiction of the courts of Tennessee to resolve any disputes or other matter related to this Agreement.

The rights and obligations under this Agreement may not be assigned to any entity who is not a party to this Agreement without the written consent of the nonassigning party; provided however that CSM may, in its sole discretion, assign its rights to any person or entity or delegate its obligations hereunder to its employees and consultants without the need of such written consent.

Any notice, demand, or other communication required or permitted under the

terms of this Agreement shall be in writing and shall be deemed to have been given or delivered three (3) business days after being sent by United States certified or registered mail, return receipt requested, to a party at its address listed above, or (ii) on the date of actual delivery to such party at said address by hand delivery, overnight courier, telegraph, telex or facsimile transmitter.

User and CSM agree that they are independent and that nothing contained in this Agreement or elsewhere is intended or shall be construed to establish an agency, joint venture, partnership, or fiduciary relationship between the parties.

Any hyperlinks and re-directs contained in this site are for User's reference only. CSM cannot, in any manner whatsoever, guarantee the content of these websites.

CSM may redirect User to alternate website directories at the sole discretion of CSM.
